Terms of Service

Cleek is a golf scoring, round tracking, and social golf platform. Features include live scoring, leaderboards, league standings, casual round tracking, friends and social challenges, Cred (a virtual reputation metric), fantasy golf, shareable score cards, QR-code-based player entry, equipment rentals, sponsor management, and an AI-powered rules assistant.

Core social features — including round tracking, friends, and challenges — are available to all users regardless of subscription plan. Additional features depend on your subscription plan (Free, Premium, Club, or Club Unlimited).

You must be at least 13 years of age to use Cleek. By creating an account, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have the consent of a parent or legal guardian.

You are responsible for:

• Providing accurate and complete information when creating your account
• Maintaining the security of your password and account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized access or use of your account

You may not create multiple accounts, impersonate another person, or use another person’s account without permission.

Cleek offers four subscription tiers:

• Free — basic scoring and event management at no cost, up to 12 members and 12 players per event
• Premium — $12 CAD per month, up to 24 members (expandable with Member Packs), includes leagues, fantasy, share cards, and more
• Club — $149 CAD per month, up to 125 members, includes all Premium features plus sponsors, custom branding, multi-admin, and rentals
• Club Unlimited — $299 CAD per month, unlimited members, includes all Club features with priority support

Member Packs (Premium only): Premium subscribers may purchase up to three Member Packs at $12 CAD per month each. Each pack adds 24 additional member slots, for a maximum of 96 total members (24 base + 3 × 24). Member Pack charges are prorated when added or removed mid-cycle. Member Packs are automatically removed if you upgrade to Club or cancel your subscription.

Paid plans cascade features to all members in your club. Members in a club with a paid admin enjoy the same features as the admin’s plan, subject to the member cap for that tier. Member caps are enforced when new members attempt to join; existing members are never removed when a cap is reached or a Member Pack is removed.

Auto-renewal: Paid subscriptions renew automatically each month on the anniversary of your subscription date. You will be charged the applicable monthly fee unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time through your account settings or the billing management portal. Upon cancellation, you retain access to paid features until the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

Price changes: We may change subscription prices with at least 30 days’ advance notice. Continued use after a price change constitutes acceptance of the new pricing.

Refunds: Subscription fees are generally non-refundable. We may, at our sole discretion, issue refunds on a case-by-case basis for exceptional circumstances.

Event Pass: A one-time payment of $250 CAD that unlocks premium event features (up to 150 players, bulk invite, share cards, QR codes, sponsor management, co-admin access) for a single event. Unused passes never expire. After the event completes, your event data is preserved as read-only. Event Pass purchases are non-refundable once consumed (event started).

All payment processing is handled by Stripe. By subscribing, you also agree to Stripe’s terms.

You agree not to:

• Use Cleek for any unlawful purpose or in violation of any applicable law
• Submit false scores, manipulate leaderboards, or engage in any form of cheating
• Harass, abuse, or threaten other users
• Attempt to access other users’ accounts or data without authorization
• Scrape, crawl, or use automated tools to extract data from the platform
• Interfere with or disrupt the integrity or performance of the service
• Reverse-engineer, decompile, or disassemble any aspect of the platform

We reserve the right to suspend or terminate accounts that violate these terms.

Our property: The Cleek platform, including its design, code, branding, logos, and content, is owned by Psyndi Holdings Inc. and protected by copyright and intellectual property laws. You may not copy, modify, or distribute any part of the platform without our written consent.

Your data: You retain ownership of all personal data and golf scores you submit to Cleek. We do not claim ownership of your data.

By using features such as share cards, public leaderboards, and fantasy leagues, you grant Cleek a non-exclusive, worldwide, royalty-free license to display, distribute, and reproduce your scores, standings, and generated share card content in connection with the operation of the service.

This license exists solely to enable the platform’s features (e.g., displaying your share card when shared on social media, showing your name on public leaderboards). You may revoke this license by deleting your account.

Cleek’s Rules AI feature provides informational responses powered by artificial intelligence. These responses are intended as general guidance based on the Rules of Golf and are not official rulings.

We do not guarantee the accuracy, completeness, or timeliness of AI-generated responses. Always consult a certified rules official for competitive play and official rulings.

Questions submitted to the Rules AI are processed by a third-party AI provider (Anthropic). See our Privacy Policy for details on how this data is handled.

Cred is a virtual reputation metric provided for entertainment purposes only. It holds no real-world monetary value and cannot be purchased, sold, transferred, or redeemed for real money, goods, or services. The use of Cred within Cleek does not constitute gambling. Cleek reserves the right to modify, reset, or remove Cred at any time without notice or compensation.

Cred operates on a reward-only model: correct predictions earn Cred, while incorrect predictions result in no change. Cred is never deducted from your account for making predictions, accepting challenges, or for any other reason. Every user starts with 1,000 Cred for free upon account creation.

Challenges are social predictions between friends on real golf outcomes. Participation in challenges is always free, regardless of your subscription plan. Challenges are for bragging rights only — no real money is involved at any stage.

Fantasy credits are a separate, league-specific virtual point system used within Fantasy Golf leagues. Fantasy credits exist only within their league context and, like Cred, hold no real-world monetary value and cannot be purchased, sold, transferred outside the platform, or redeemed for real money, goods, or services.

To the maximum extent permitted by law, Psyndi Holdings Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, tournament results, or prize money, arising from your use of or inability to use the service.

Our total liability for any claim arising from or related to these Terms or the service shall not exceed the amount you have paid us in the 12 months preceding the claim.

Cleek is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy of scores, standings, or AI-generated content.

You agree to indemnify, defend, and hold harmless Psyndi Holdings Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

You may terminate your account at any time by contacting us at cleek@psyndi.com or by requesting account deletion through the platform.

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or the service, or is otherwise objectionable.

Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination will survive (including limitation of liability, indemnification, and governing law).

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of Cleek shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may bring a claim in the courts of British Columbia, Canada, and you consent to the exclusive jurisdiction of those courts.

We may modify these Terms at any time. The “Last updated” date at the top of this page reflects the most recent revision. We will make reasonable efforts to notify you of material changes (such as by email or a notice within the platform). Your continued use of Cleek after modifications constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
